The following are the Terms and Conditions to use Gracey Care Navigation Services, Inc. ("Gracey Care," "we," "our," or "us"). These Terms & Conditions ("Terms" and/or "Agreement") govern your use of our website, digital tools, care coordination services, and any related communications you receive from us (collectively, the "Services").

By enrolling in Gracey Care Services, you agree to these Terms.

1. Gracey Care Services

By agreeing to these Terms, you acknowledge and agree that Gracey Care provides non-clinical care coordination and support services, which may include:

  • Guidance on navigating the healthcare system
  • Help understanding your care plan
  • Assistance with scheduling visits
  • Support with medications, appointments, and community resources
  • Coordination with your healthcare providers

If you participate in telehealth visits, you agree that you have signed and consented to Gracey Care consent forms, including Telehealth Consent and Consent to Treatment.

2. Your Responsibility

By using our Services, you agree that you have:

  • Provided accurate and up-to-date information
  • Used our services for lawful purposes
  • Not misused or attempted to give unauthorized access to our systems
  • Followed your care instructions as agreed with your provider
  • Updated us if your contact information or health status changes

You are responsible for maintaining the confidentiality of your login credentials.

You agree that Gracey Care may contact you via phone calls, text messages, or email. These communications may include appointment reminders, care coordination support, service updates, and other information related to your care. Message and data rates may apply.

You agree that Gracey Care providers and care coordinators do not replace your primary care provider or emergency services. Any educational content, website information, or general guidance from Gracey Care that is not part of a clinical visit is for informational purposes only and is not medical advice. Only licensed clinicians may provide medical guidance during formal care encounters. You may terminate your participation at any time by notifying us at the Contact Information below.

You agree not to:

  • Misrepresent your identity or health information
  • Record telehealth sessions without permission
  • Use our platform for harmful or unlawful purposes
  • Harass or abuse Gracey Care staff

Gracey may terminate Services if you breach any of the Sections of these Terms.

3. Privacy and Protection of Your Information

Protection of your information is important to us. Your Protected Health Information (PHI) is handled under our Notice of Privacy Practices. Your general website information and interactions is handled under our general Privacy Policy.

By using our Services, you consent to the collection and use of your information as described in those documents.

4. Financial Responsibility

Many of our services, including PIN services, may be covered by Medicare or other insurance plans. Gracey Care does not make any guarantees about what may be covered by your insurance plan or Medicare.

You acknowledge that you are responsible for any copayments, coinsurance, or deductibles as required by your insurance. You will not be billed by Gracey Care for services that your plan covers at no cost to you. You will be notified if any service might result in out-of-pocket costs before being charged.

5. Limitations of Liability & Disclaimers of Warranty

To the fullest extent allowed by law, Parties agree that Gracey Care is not liable for any indirect, incidental, or consequential damages. You will indemnify us, defend us and hold us harmless against any and all claims of losses, causes of action, demands, liabilities, costs or expenses (including, but not limited to, litigation and reasonable attorneys' fees and expenses) arising out of or relating to any of the following:

  • Your access to or use of the Platform
  • Any actions made with your account or Account Access whether by you or by someone else
  • Your violation of any of the provisions of this Agreement
  • Any recommendations made by your healthcare provider and/or care coordinators

Our Services are provided on an "as is" and "as available" basis. We do not guarantee that the website or telehealth platform will always be available, that all information will be error free, and/or that the Services will be appropriate for every individual, including but not limited to emergency services.

We may suspend or terminate your access if you:

  • Violate these Terms
  • Misuse our services or systems
  • Engage in abusive or inappropriate behavior
  • No longer meet eligibility requirements (e.g., insurance coverage)

We may modify, pause, or discontinue any portion of our Services at any time.

Sections on privacy, intellectual property, payments, and dispute resolution remain in effect after termination.

6. Intellectual Property

All content on our website and digital platforms, including but not limited to text, graphics, logos, and software, is owned by Gracey Care and may not be copied, distributed, or used without permission.

7. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, excluding any rules governing choice of law. Any dispute related to these Terms must be resolved through binding arbitration, unless prohibited by law. You may opt out of arbitration within 30 days of accepting these Terms by notifying us in writing at the email below.

We may freely transfer or assign this Agreement anytime.
